Turin, April 16, 2024. The Shareholders' Meeting of BasicNet S.p.A.:

in ordinary session:

• approved the 2023 Financial Statements and the distribution of a dividend of Euro 0.15 gross for each outstanding share, for a total of Euro 7.4 million.

The dividend will be paid from April 24, 2024, with record date of April 23, 2024 and coupon date (No. 17) of April 22, 2024.

• approved Section I of the Remuneration Policy for Directors and Senior Executives and expressed a favourable opinion on Section II of the same document;
• approved the authorisation to purchase, on one or more occasions, a maximum number of ordinary shares which, taking account of those already held by the Company, does not exceed the legal limits, for a period beginning from the date of this Shareholders’ Meeting and extending until the date of the Shareholders’ Meeting called to approve the 2024 Annual Accounts. The Shareholders’ Meeting also authorised the Board of Directors to utilise treasury shares without time limit;
• approved the incentive and loyalty plan for the Group's Directors and employees, called the "2024-2027 Stock Grant" and authorised the Board of Directors to enact it by the free allocation of a maximum of 2,000,000 (two million) BasicNet shares drawn from the treasury share portfolio;

in extraordinary session:

• approved the amendment to Article 9 (Shareholders' Meetings) of the By-Laws, containing the provision that Shareholders’ Meetings may also be held exclusively through the appointed representative, and Article 16 (Board of Directors’ Powers and legal representation) of the By-Laws, assigning decisions concerning demergers to the Board of Directors in the cases provided by law.

The 2023 Separate and Consolidated Financial Statements, in addition to the further documentation required by Article 77 of Consob Resolution No. 11971 of May 14, 1999, are filed and available to the public at the registered office in Turin, Largo Maurizio Vitale, 1, on the website of Borsa Italiana S.p.A., on the website www.basicnet.com, and on the authorised storage website www.1Info.it.

The minutes of the Shareholders’ Meeting will be made available to the public through the same means, in accordance with law.
